   MOTION TO APPROVE Resolution of the Housing Finance Authority of Broward County, Florida authorizing the issuance of its not to exceed $22,000,000 Multifamily Housing Revenue Bonds (Mar Lago Apartments Project) for the purpose of financing the acquisition and rehabilitation of the Mar Lago Apartments located in Broward County, Florida; approving and authorizing the execution and delivery of a Trust Indenture by and between the Authority and Regions Bank, as Trustee; approving and authorizing the execution and delivery of a Land Use Restriction Agreement by and among the Authority, the Trustee and ML Casa V, LP, as borrower; approving and authorizing the execution and delivery of a Loan Agreement by and between the Authority and the Borrower; approving and authorizing the execution and delivery of a Supplemental Agreement by and between the Authority and the Borrower; approving and authorizing the execution and delivery of a Placement Agent Agreement for the Bonds by and among the Authority, RBC Capital Markets, LLC and Raymond James and Associates, Inc.; approving and authorizing the execution and delivery of a Trustee Fee Agreement by and between the Authority and the Trustee; approving and authorizing the execution and delivery of certain additional Agreements necessary or desirable in connection with the issuance of the Bonds; authorizing the proper Officers of the authority to do all things necessary or advisable in connection with the issuance of the bonds; and providing an effective date for this Resolution.

   MOTION TO APPROVE Resolution of the Housing Finance Authority of Broward County, Florida (the “HFA”), approving and authorizing the use of $800,000 from the HFA Reserves to provide the local match requirement for the Florida Housing Finance Corporation 9% tax credit allocation for Multifamily Developers subject to the conditions as set forth herein; providing for severability; and providing for an effective date.
